End User License Agreement (EULA)

1. Acceptance of Terms

By accessing and using the PDPL Compliance Tool ("the Software"), you agree to be bound by this End User License Agreement. If you do not agree to these terms, you may not use the Software. This Software is deployed on Oracle Cloud infrastructure within the United Arab Emirates and is governed by the laws of the UAE.

2. License Grant

The Software is licensed, not sold. The organisation deploying this Software is granted a non-exclusive, non-transferable, revocable license to use the Software for its internal compliance management purposes only. No ownership rights are transferred.

3. Purpose of the Software

The Software is a compliance assistance tool designed to help organisations assess, track, and improve their compliance with the UAE Federal Decree-Law No. 45 of 2021 (PDPL). It provides:

  • Self-assessment questionnaires mapped to PDPL articles
  • Compliance scoring and gap analysis
  • Policy document generation from templates
  • DSAR, consent, and breach management workflows
  • Audit trail and record-keeping
4. Disclaimer & Limitation of Liability

The Software is provided "as is" without warranty of any kind, express or implied. The owners, developers, and operators of this Software expressly disclaim all liability for:

  • Any regulatory penalties, fines, or legal consequences incurred by the user or their organisation
  • Compliance deficiencies identified or missed through the use of the Software
  • Inaccuracies in generated documents, compliance scores, or recommendations
  • Data loss, security incidents, or unauthorised access occurring through use of the Software
  • Any direct, indirect, incidental, special, or consequential damages arising from use or inability to use the Software

This Software does not constitute legal advice. Users must consult qualified legal counsel for all PDPL compliance matters. The tool is a starting point and reference aid only.

5. Data Processing & Jurisdiction

All data processed by this Software is stored and processed exclusively on Oracle Cloud servers located within the UAE. Data does not leave UAE jurisdiction. Both the Software and this Agreement are governed by the laws of the United Arab Emirates. Any disputes shall be resolved in the courts of the UAE.

6. User Obligations

As a user of this Software, you agree to:

  • Provide accurate and complete information about your organisation
  • Maintain the confidentiality of your login credentials
  • Use the Software in compliance with all applicable UAE laws and regulations
  • Not attempt to reverse-engineer, modify, or distribute the Software
  • Promptly report any security incidents or data breaches through the Software's breach reporting feature
7. Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any terms. Upon termination, you must cease all use of the Software and delete all copies.
